Terms & Conditions
Contractual terms for business use of CELVENO.
1. Provider and scope
CELVENO is provided by Fabian Traub, CELVENO, Mühlenstrasse 40, 8200 Schaffhausen, Switzerland. These Terms are primarily or exclusively intended for businesses, self-employed persons and organisations using CELVENO for business purposes. Mandatory law remains unaffected.
2. Contract formation and registration
Product information, prices, demo forms and contact forms are generally non-binding. A paid contract is formed when an offer or order is validly accepted, an order confirmation is issued, or an online process expressly identified as binding is successfully completed. Before a binding online checkout, the plan, price, billing interval and essential services must be shown, entries must be correctable, and the Terms and Privacy Policy must be accessible.
Electronic confirmations and contractual communications may be sent to the business contact addresses provided by the customer.
3. Company account, administrators and users
A company account may be managed by authorised company administrators. The customer determines who receives access and which roles or permissions are assigned. The customer is responsible for keeping user administration current. Credentials must not be shared without authorisation. Suspected unauthorised access, lost credentials or security incidents must be reported without delay.
4. Scope of services, plans and changes
The specific scope depends on the selected CELVENO plan, the current price/service description, the offer and the order confirmation. CELVENO may develop, replace or adjust features provided the essential contractual purpose is not unreasonably impaired. Updates, maintenance and security changes may be required. Enterprise or project services may be individually agreed.
Support, export, audit and other additional features depend on product status, plan and express agreement.
The automatic company-backup frequency depends on the selected CELVENO plan: Starter once per week, Business once per day and Enterprise twice per day. The corresponding AI variant uses the same backup frequency. No specific execution time is guaranteed.
5. Prices, billing and late payment
Prices are generally displayed in CHF. The prices shown or confirmed at the time of contract formation apply. Any VAT treatment is determined by the offer, order confirmation or invoice; no unconfirmed tax status is assumed.
Billing is governed by the offer or order confirmation. Payment is due as stated on the invoice or under the agreed payment method.
In the event of material payment default, access may be temporarily restricted after a reminder. Further statutory or contractual rights remain reserved.
6. Start, term, renewal, plan changes and cancellation
A subscription may be cancelled with three months' notice to the end of the relevant contractual period. If it is not cancelled on time, it renews automatically for the agreed contractual period. Enterprise or project contracts may expressly provide different rules.
Upgrades or plan changes take effect at the agreed time. Price or service changes affecting an existing contract are communicated appropriately for a future contractual period. After contract end, access may be disabled. Customers should export required data before contract end. At the customer's request or where a later subscription reactivation is intended, the related customer data may be archived for up to 12 months. It is then deleted or anonymised unless statutory retention duties or technically necessary backup periods require otherwise.
7. Customer data, privacy and commissioned processing
The customer retains its rights in data and business content it provides. The customer is responsible for ensuring that it may lawfully collect, store, process and – when consciously using AI functions – transmit the data to the required technical providers.
Personal data is processed under the Privacy Policy. Where CELVENO processes personal data on behalf of a customer, the Data Processing Agreement applies where incorporated into the customer contract. The current essential providers are listed under Subprocessors.
CELVENO is not automatically a legally compliant long-term archive for every accounting or business document. The customer remains responsible for its own statutory retention and archiving duties.
8. CELVENO AI
Depending on plan and permission, CELVENO AI is an assistance system for functions such as quote drafts, document and catalogue import, text improvement, email drafting, customer-response analysis, quote review and transcription. AI output is a suggestion. It may be wrong, incomplete, outdated or unsuitable and must be reviewed by an authorised human before business use.
Plans with CELVENO AI include a plan-dependent monthly AI usage quota. As a non-binding guideline, depending on the function used, Starter AI provides approximately 50–200, Business AI approximately 200–500 and Enterprise AI approximately 1,000–2,500 AI actions per calendar month. The actual number may vary depending on the type and scope of use. The quota applies per company account and resets automatically on the first day of each calendar month. Unused quota is not carried over to the following month.
Quota usage may differ depending on the AI function used. In particular, extensive document, image, quote or data analyses may consume a larger share than simple text functions. Failed AI requests are not counted.
Once the quota is exhausted, further AI functions are paused until the next reset. There is no automatic paid overage. Additional AI quota may be purchased separately under the conditions offered or agreed at that time.
AI output is not a binding source of prices or facts. Prices, quantities, technical details, contract terms, taxes and other material business data remain subject to user review. CELVENO is designed so that material AI-proposed changes become binding only after the intended user approval.
No specific accuracy, reproducibility, uniqueness or uninterrupted availability of AI output is guaranteed. Further information is available under AI & Data Processing.
9. Permitted and prohibited use
CELVENO may only be used lawfully and for the agreed business purpose. Prohibited uses include unauthorised access to other accounts or tenants, bypassing security controls, distribution of malware, unlawful or discriminatory content, infringement of third-party rights, abusive automated load and unlawful use of AI functions.
CELVENO may temporarily suspend access in case of a concrete security risk, material abuse, unlawful use or substantial payment default. Where reasonable, the customer will be informed and given an opportunity to remedy the issue.
10. Availability, maintenance and force majeure
CELVENO aims to provide a reliable service. A specific availability commitment only applies if expressly agreed. Maintenance, updates, security measures and outages of internet, hosting, cloud, database, email or AI providers may temporarily affect use.
Neither party is liable for delays or failures outside its reasonable control, such as natural events, large-scale network or cloud failures, governmental measures, war, labour disputes or comparable events.
11. Intellectual property and confidentiality
Software, design, trademarks, logos, documentation and other CELVENO components remain the property of their respective rights holders. The customer receives a non-exclusive, non-transferable right to use the service for the contractual term and scope. Both parties treat recognisable business and operational information as confidential and use it only for contract performance unless disclosure is legally required.
12. Liability
Liability for intent, gross negligence and other mandatory statutory liability remains unaffected. For ordinary negligence, liability is limited, to the extent legally permissible, to direct and foreseeable losses. Liability for indirect loss, consequential loss or lost profit is excluded to the extent permitted by law.
Where a further limitation is legally permissible, total liability for ordinary negligence is limited to the fees paid by the affected customer for CELVENO during the twelve months preceding the event giving rise to the claim. Unreviewed AI output, automatically recognised document content and other assistance results do not constitute a warranty of correctness.
13. Changes, governing law, venue and severability
Material changes to these Terms affecting existing contracts will be communicated appropriately. Unless an immediate change is required for compelling reasons, material changes generally apply from a subsequent contractual period or after express consent.
Swiss law applies. To the extent legally permissible, exclusive venue is Schaffhausen, Switzerland. Mandatory statutory venues remain unaffected. If any provision is invalid or unenforceable, the remaining provisions remain effective; the statutory rule applies in place of the invalid provision.
